1. Agreement
By accessing or using WorkGrid Pro (the “Service”), you agree to these Terms of Service (“Terms”). If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.
2. The Service
WorkGrid Pro is software for contractor operations, including leads, customers, projects, estimates, change orders, scheduling, documents, invoicing, reporting, portals, and optional integrations. Features depend on your plan and may change as we improve the product.
3. Accounts & eligibility
- You must provide accurate registration information and keep it up to date.
- You are responsible for activity under your account and for safeguarding login credentials.
- You must promptly notify us of unauthorized access.
- Team members you invite must also comply with these Terms.
4. Plans, trials & billing
Paid plans, free trials, and feature limits are described on our pricing page and in-product billing settings. During a free trial, access may be view-only until you upgrade. Fees are charged via our payment processor. Unless stated otherwise, subscriptions renew until cancelled. Taxes may apply. You are responsible for timely payment; we may suspend access for non-payment.
5. Your content & responsibilities
You retain ownership of content you submit (estimates, customer data, documents, etc.). You grant us a limited license to host, process, and display that content solely to provide the Service.
You are solely responsible for:
- The accuracy of estimates, change orders, invoices, and other job records
- Compliance with contracts, licensing, and laws applicable to your trade and customers
- Communications you send to clients, subcontractors, or teammates through or using the Service
- Obtaining any consents needed to store or process customer and worker information
WorkGrid Pro does not provide legal, accounting, or professional advice.
6. Acceptable use
You may not:
- Misuse the Service, probe or disrupt systems, or bypass security or plan limits
- Upload malware or unlawful, infringing, or harmful content
- Use the Service to spam or send deceptive communications
- Resell or provide the Service to third parties as your own product without our written consent
- Scrape or reverse engineer the Service except where prohibited by law from restricting that
7. Integrations & third parties
Optional integrations (for example QuickBooks Online or payment links) are subject to those providers’ terms. We are not responsible for third-party outages, data handling, or sync errors outside our reasonable control. You can disconnect integrations where the product allows.
8. Client & subcontractor portals
If you invite clients or subcontractors, you control what they can access. You are responsible for inviting the correct people and revoking access when appropriate.
9. Intellectual property
The Service, branding, software, and documentation are owned by WorkGrid Pro and its licensors. These Terms do not transfer ownership of our IP to you. Feedback you provide may be used to improve the Service without obligation to you.
10. Confidentiality
We treat your business content as confidential and use it only to provide the Service, except where disclosure is required by law or you make information public through portals or shared links you create.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that job financial calculations will meet your specific contractual needs.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKGRID PRO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
13. Indemnity
You will defend and indemnify WorkGrid Pro against claims arising from your content, your use of the Service, your client communications, or your violation of these Terms or applicable law.
14. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal risk, or misuse. Upon termination, your right to use the Service ends. Sections that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.
15. Changes
We may update these Terms by posting a revised version and updating the “Last updated” date. Material changes may also be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts in that jurisdiction will have exclusive venue, except where consumer protections require a different forum.
